TMCN Role

Texas Medical Cannabis Network ("TMCN") provides technology, scheduling, intake management, communications, and patient support services. TMCN is not a healthcare provider and does not provide medical advice, diagnosis, treatment, or prescriptions.

No Guarantee

Payment of any platform fee does not guarantee eligibility, approval, certification, treatment, or any medical outcome.

Physician Independence

All clinical decisions are made solely by licensed healthcare providers exercising independent medical judgment.

User Responsibilities

Users are responsible for providing accurate information and maintaining the confidentiality of their login credentials.

Limitation of Liability

TMCN is not responsible for medical decisions made by independent healthcare providers.

Parties

This Agreement is entered into between Texas Medical Cannabis Network ("TMCN") and Store Partner ("Store").

Purpose

Store agrees to host TMCN technology, including tablets, QR codes, marketing materials, and patient access systems for connecting patients with licensed healthcare providers.

Store Responsibilities

• Maintain tablet and internet access.
• Display approved TMCN marketing materials.
• Assist patients with navigation of the platform.
• Refrain from providing medical advice.
• Refrain from promising approvals or medical outcomes.
• Protect patient privacy.

Prohibited Activities

Store shall not:

• Diagnose patients.
• Recommend treatment.
• Represent itself as a medical provider.
• Access protected medical records without authorization.

TMCN Responsibilities

• Provide software platform.
• Provide QR codes.
• Provide support and training.
• Maintain platform uptime.

Term

Initial term of 12 months with automatic renewal.

Termination

TMCN may suspend or terminate access for misuse, fraud, privacy violations, or legal concerns.

Limitation

Store acknowledges all medical decisions are made independently by licensed healthcare providers.

Confidentiality

Store agrees to protect confidential information, business information, and patient information.

Governing Law

State of Texas.

Parties

Agreement between TMCN and Licensed Physician ("Provider").

Independent Status

Provider is an independent healthcare provider and is not an employee, agent, or representative of TMCN.

Clinical Independence

Provider maintains sole authority regarding:

• Patient evaluation
• Diagnosis
• Treatment
• Certification decisions
• Follow-up care

TMCN Role

TMCN provides:

• Technology platform
• Scheduling tools
• Patient intake system
• Communications tools

TMCN does not practice medicine.

Provider Responsibilities

• Maintain active licensure.
• Maintain required malpractice coverage.
• Comply with all applicable laws and regulations.
• Maintain patient records as required by law.

Patient Fees

Provider may establish and collect their own medical evaluation fees. TMCN platform fees, if any, are separate and independent from provider medical fees.

Confidentiality

Provider shall maintain confidentiality and privacy protections as required by law.

Term

12-month renewable agreement.

Termination

Either party may terminate with written notice.

Governing Law

State of Texas.

Platform Fee

Patient pays for:

• Account creation
• Identity verification
• Intake processing
• Scheduling access

Example: $20 Platform Fee

Doctor Fee

Doctor charges separately for:

• Initial consultation
• Follow-up consultations
• Renewal evaluations

Patient Disclosure

Platform fees are separate from any medical evaluation fees charged by healthcare providers.

Security

• Encrypted database
• Encrypted file storage
• Multi-factor authentication
• Audit logs
• Access controls

Access Control

Patients: see only their own records.

Stores: see only workflow status and business metrics authorized by the system.

Doctors: see assigned patient information.

Admins: role-based access only.

Patient Consent

Before account creation, patients accept:

• Privacy Policy
• Terms of Service
• Consent to electronic communications

Logging

The platform tracks:

• Login activity
• File access
• Status changes
• Record exports
